OFFER DETAILS:
If your church does not experience a 5% giving increase during the first year after completing implementation of the Pushpay solution, we’ll give you a refund or credit towards future invoices for Pushpay software fees equal to 100% of the first year’s software fees.
To qualify for this offer, you must:
1. Complete implementation of the Pushpay solution within 60 days of your kick-off call;
2. Utilize and adopt the Pushpay solution, support, and resources throughout the entirety of the first year; and
3. Notify us in writing of your eligibility for the guarantee within 30 days after the end of your first year with us.
Additional Qualifications/Clarifications:
The following terms as used herein mean the following: “complete implementation” means the church has fully implemented the Pushpay solution, including all giving processing options (ACH, debit, credit and prepaid card), imported donor transaction history, and fully implemented our proprietary five steps of success. – “church” means the church you sign up. – “Pushpay software fees” means the software subscription fees paid to us during the first 12 months of your Agreement, excluding any other fees paid or payable to Pushpay or its affiliates, any fees or costs for, or relating to, merchant processing and giving, and any upgrades or additional products and services purchased after the sign up date. – “Pushpay” means Pushpay USA, Inc. – “Pushpay solution” means all products and services offered by Pushpay or any of its affiliates, including, without limitation, payment processing, giving and gift entry. – “exclusively” means you exclusively utilize the Pushpay solution for all of your giving and processing needs and to record and process all ACH, and debit, credit and prepaid card donations for your church. – “extraordinary circumstance outside our control” includes any significant event that is either outside our control or not directly attributable to the Pushpay software service, examples of such events include: events relating to your church or any affiliated organization (e.g., an affiliated school); a church split; transition of the senior pastor; moral failure or misconduct; cessation of operations; merger with another church (or a like event); shift in theology or core beliefs; relocation, decline in, or failure to maintain historical growth in, marketing or broadcasting spend, attendance, membership or services; special giving campaigns prior to the kick-off call, micro or macro economic change; recession; natural disaster; actual or threatened war; terrorist activity; civil disorder; disease; medical epidemics; or outbreaks. – “first year” means the twelve-month period commencing upon complete implementation. – “giving increase” means the percentage increase in total giving during the first year as compared with the twelve month period immediately prior to the sign up date. – “includes” or “including” means including without limitation. – “kick-off call” means the date of your initial call with our customer success team to kick-off the implementation process. – “notify us” means you deliver a signed written notice detailing the basis for your claim under the giving guarantee, containing all supporting documentation, a signed certification from the church’s executive pastor that the notice and all supporting documentation is true, correct and complete, that there are no omissions of material facts, and that there have been no extraordinary circumstances outside our control (“certified”); notice shall be delivered to our current Redmond address by certified United States mail (confirmation required) with attention to Customer Success and Legal departments, and by email to customersuccess@pushpay.com and legal@pushpay.com. – “our” “we” or “us” means Pushpay. – “sign up date” means the earliest date on which you sign any agreement with us pertaining to any portion of the Pushpay solution.- “supporting documentation” means certified records proving that the 5% giving increase was not met and any other reasonably requested information. – “utilize and adopt” means you continuously, fully and exclusively utilize, remain live, with and make available the complete Pushpay solution (including any available updates or enhancements) for your church, members, advocate for digital and recurring giving, and take advantage of all the support we offer, and that you do not offer or utilize any third party digital giving solutions. – “you” or “your” means the church you are signing up.
In determining the applicable giving increase, we may take into account and make adjustments based on, and/or you may be disqualified from the giving increase guarantee, if you fail to satisfy the above qualifications or requirements or if there is an extraordinary circumstance outside of our control. Offer may not be combined with any other special offers, one-time pricing, promotions or discounts. The credit amount may be reduced to the extent of any special offers, one-time pricing, promotions or discounts received prior to, or offered or extended after your first year. Under no circumstance will cash refunds be issued or credits applied towards fees other than software as a service fees, and issuance of a refund as opposed to a credit shall be made in Pushpay’s sole discretion. Any refund or credit will be issued less the full value of any promotional period or discount and less any sales, use or other taxes collected by us.
